Updated: 3 hours ago
Practice Directive No. 11/2026 | Compliance Deadline: 14 January 2027

The Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia, “SSM”) has issued Practice Directive No. 11/2026 (“PD 11/2026”), introducing new lodgement requirements for shareholders’ and share capital information.
Issued on 14 July 2026, the directive forms part of the implementation of SSM's Corporate Registry System (“CRS”) and aims to ensure that information maintained by SSM accurately reflects companies' existing shareholding structures and issued and paid-up share capital.
Companies falling within the scope of the directive are given a six-month period, from 14 July 2026 to 14 January 2027, to lodge the required information with SSM.
1. Which Companies Are Affected?
Pursuant to Paragraph 6 of PD 11/2026, the following companies are required to comply with the directive:
Local companies with members holding more than one type of shares; and
All foreign companies registered with SSM.
2. What Information Must Be Submitted?
Companies falling within the scope of PD 11/2026 are required to lodge the information prescribed in Annexure B, comprising:
Table A – Capital Structure
Details of the company's share capital, including the types and number of shares, issued share capital, paid and unpaid share capital, voting rights and relevant characteristics of preference shares, where applicable.
Table B – Shareholders Breakdown
Shareholders' identification and contact particulars, shareholding details, voting rights and information relating to corporate shareholders and holding-company relationships, where applicable.
The prescribed notice and declaration must be signed by a director or company secretary. The information must be lodged over the counter at SSM's Head Office or any SSM State Office. 3. Implications for Companies
Under PD 11/2026, affected companies must first lodge the required shareholders’ and share capital information before accessing certain share-related services through CRS. These services, as specified in Annexure A of the directive, include:
Notification of changes to particulars in the register of members;
Approval for allotment of shares or grant of rights;
Return of allotment of shares;
Redemption of preference shares;
Alteration or reduction of share capital;
Variation of class rights; and
Notification of an increase in the share capital of a foreign company.
Until the required information has been duly lodged, affected companies will be unable to access the specified CRS services. This may result in delays to future share-related corporate transactions, particularly where changes to shareholdings or share capital are anticipated.
4. What Should Companies Do?
Companies falling within the scope of PD 11/2026 should review their existing share capital and shareholder records to ensure that the information is accurate and consistent with the statutory records maintained at their registered offices.
Our company secretarial team will liaise with you, where applicable, to obtain or verify the relevant information and facilitate the preparation and lodgement of the prescribed documents.
